Job Description

Locus Biosciences is seeking a highly motivated applicant to join our team as a full-time Inside Counsel with an IP Focus, responsible for managing the company’s intellectual property portfolio and general corporate legal work, including managing relationships with outside IP and corporate counsel. The ideal candidate will have a scientific background coupled with skills and interest to provide a broad array of legal services to an emerging biotechnology company. Experience in the pharmaceutical/biotechnology industry is preferred.

Responsibilities will include:

· Develop strategies to protect and defend the Company’s intellectual property

· Prepare and prosecute or oversee outside counsel in prosecuting worldwide patent applications, conduct patentability and freedom to operate assessments, and manage IP disputes.

· Coordinate and collaborate with Locus internal scientific team to identify potential inventions, draft applications, review applications, and incorporate data for enablement

· Track internally and work with outside counsel to track competitive IP landscape

· Support IP due diligence and license negotiations in collaboration with business development

· Draft, review, and negotiate a variety of agreements, including master services, consultancy services, vendor services, licensing and technology agreements, investigational clinical site contracts (universities, hospitals, private practice, etc.), equipment purchases and leases, facility and maintenance, etc.

· Support the analysis and review of contracts prepared by others in a manner that balances Locus’s business requirements with practical legal analysis.Work with Locus executive team and outside counsel to prepare Locus for potential public offering, including implementation of compliance systems, preparation of offering materials, and other related work

Required Qualifications:

· JD or equivalent and 2-5 years post-law school experience.

· High level of communication, organizational and analytical skills.

Preferred Qualifications:

· Registered Patent Attorney

· BS/MS/PhD in life sciences, including biology, chemistry, biochemistry or other technical degree relevant to biotechnology

· Admitted to bar in North Carolina
